Independent Contractor Agreement

 

This Agreement is made between the musicu, LLC (hereinafter referred to as "Company") and [Teacher Name] (hereinafter referred to as "Teacher").

 

1. Engagement and Relationship  

The Teacher is engaged as an independent contractor, not an employee of the Company.  

The Teacher is responsible for managing their own schedule, teaching methods, and compliance with applicable laws.

 

2. Services Provided  

The Teacher agrees to provide music lessons to students booked through the musicu platform.  

The Teacher will maintain professionalism and adhere to the musicu's code of conduct.

 

3. Compensation  

The Teacher will receive 80% of the lesson fee after each successful lesson bundle, processed via Stripe. Separate bonuses may be offered but not guaranteed.

Payments are subject to processing fees as applicable.

 

4. Use of Platform  

The Teacher agrees to use the musicu app for all communication, scheduling, and payment transactions with students.  

The Teacher will not solicit musicu students for lessons outside the platform.

 

5. Cancellations and Refunds  

The Teacher will adhere to the musicu's cancellation and refund policy.

 

6. Confidentiality  

The Teacher agrees to keep all student and platform-related information confidential and use it only for teaching purposes.

 

7. Termination  

The Company reserves the right to terminate the Teacher's access to the platform for violations of this Agreement or the code of conduct.

 

8. Legal and Tax Obligations  

The Teacher is solely responsible for their taxes, insurance, and other legal obligations.  

The Company will provide a 1099 form for tax purposes.

 

9. Governing Law  

This Agreement will be governed by the laws of the state of California.

 

10. Entire Agreement  

This document constitutes the entire agreement between the parties and supersedes any prior agreements.

 

11. Ownership and Use of Platform

The Teacher acknowledges that they are granted access to the musicu app solely for the purpose of providing music lessons to students as an independent contractor. All content, features, data, and intellectual property within the app, including but not limited to lesson scheduling tools, messaging systems, and payment processing functionalities, are and shall remain the exclusive property of the Company. The Teacher agrees that their use of the app does not grant them any ownership rights or claims over the app, its content, or its functionalities.

12. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or related to this Agreement. The Company's total liability for any claims under this Agreement shall not exceed the amounts paid to the Teacher for services rendered through the musicu platform.

 

13. Indemnification

The Teacher agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, and employees from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

a) The Teacher's performance of services under this Agreement;

b) Any breach of this Agreement by the Teacher; or

c) Any violation of applicable laws or regulations by the Teacher.

 

14. Intellectual Property Protection

Any materials, resources, or content provided by the Company, including but not limited to lesson plans, teaching materials, or proprietary information, remain the sole property of the Company. The Teacher agrees not to copy, distribute, or use these materials for purposes outside of their work with the Company without prior written consent. Any content created by the Teacher specifically for use on the musicu platform may be used by the Company in connection with the operation, promotion, or improvement of its services.

 

15. Negative Balance Management
The Teacher acknowledges and agrees that the Company will enable the debit_negative_balances feature on their Stripe connected account. This feature allows Stripe to automatically debit the Teacher’s linked external bank account to cover any negative balances resulting from refunds, chargebacks, or other adjustments.

The Teacher agrees to maintain a valid and verified external bank account linked to their Stripe account at all times and consents to the automatic debiting of funds as required to resolve negative balances. Failure to maintain this feature enabled may result in the suspension or termination of the Teacher's access to the platform.
